TERMS AND CONDITIONS

Welcome to Talent and Beauty. Talent and Beauty is operated by WDW Media Ltd (“Company“, “we“, or “us“). The following terms and conditions, together with any documents they expressly incorporate by reference] ([collectively, ]these “Terms of Use“), govern your access to and use of the Talent and Beauty Website i.e. talentandbeauty.com.ng , including any content, functionality, and services offered on or through The Talent and Beauty Website (the https://talentandbeauty.com.ng“).

Please read the Terms of Use carefully before you start to use the Website.

By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use.

THE TALENT AND BEAUTY PLATFORM

The Mission of the Talent and Beauty Platform is to engage or direct theatrical agents, booking agencies and employment agencies, as well as other firms, persons or corporations who may be retained for the purpose of securing contracts, engagements or employment for the Talent.

SERVICES

Talent and Beauty will perform for the Company (WDW Media Ltd) the Services in accordance with these Terms of Use. If there is a conflict or ambiguity between any of these Terms of Use and any additional written agreements, the terms of the specific agreement will prevail for that instance only.

REGISTRATION OBLIGATIONS

In order to use the Talent and Beauty Website, you must obtain access to the Website by supplying all the information necessary to make a connection to the Website.

By using any of the Talent and Beauty Platform’s services, you agree to:

1. Provide the true, accurate, current and complete information about yourself as prompted by the service’s registration form
2. Maintain and promptly update the registration data to keep it true, accurate, current and complete.
3. Talent and Beauty has the right to suspend or terminate your account if you violate the above or Talent and Beauty has reason to believe that you have violated the above. Every personal information will be processed in accordance with its privacy policy.

DATA MANAGEMENT AND SECURITY NOTICE

Talent and Beauty is a platform that connects you with third party talent seekers, producers and content production companies who can hire you to perform a creative type of work for them.

On lawful basis you have to share some information with us (the platform) so that we can execute our services for you. This information about yourself will help us connect you with the right type of opportunities and it will enable the third party talent seekers to discover you for the kind of work you are suitable for.

In the following steps you will have to share some specific information about yourself to ensure that you are eligible to satisfy the appropriate conditions in order to enable us to perform a good service for you.

The information you will share with the platform is: name, email address, phone number, weight, height, ethnicity, hair color and similar descriptions of your visual appearance.

The information you share with the platform will be used exclusively and solely for the purpose of making your profile discoverable to users who will be able to hire you for a short term project or job.

The information you share will be visible to talent seekers on our platform who requested you for a project. WDW Media Ltd. can share your profile with their clients in case they need to make the decision on who should be hired for the job.

You will receive information about new jobs and project to the email address that you entered during the registration process.

You are able to modify your personal data at any time if you are logged in to your account. You can also ask us to modify your data for you.

You can opt-out from all emails and delete all your information from the Talent and Beauty platform by deleting your profile on your dashboard. The dashboard is the screen where you land after you completed the registration process. 

CONTENT SUBMITTED TO TALENT AND BEAUTY

By submitting content to Talent and Beauty, for inclusion on your Talent and Beauty portfolio or in other sections of the Talent and Beauty Website, you grant Talent and Beauty, the Company and its affiliates the worldwide, royalty-free and non-exclusive license to reproduce, modify, adapt and publish the content solely for the purpose of displaying, distributing and promoting your Talent and Beauty Portfolio and your contents on Talent and Beauty Internet properties.

This license exists for as long as you continue to be a Talent and Beauty member and shall terminate when you request by email that your content be removed and you have received information form WDW Media Ltd of the removal of your content.

Contents must not:

1. Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
2. Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
3. Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
4. Promote any illegal activity, or advocate, promote, or assist any unlawful act.

Video contents uploaded should be a High Definition Content, ensuring that the surroundings are well lit and avoiding areas with excessive background noise. 

Photos uploaded are to be in true color photos only; no black and white.

Photos should not be grainy, they have to be clear and in high definition

UPDATES 

These Terms may be revised or updated from time to time. All changes are effective immediately when we post them, and apply to all access to and use of this Website thereafter.

Your continued use of this Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

ELIGIBLE USERS

This Website is offered and available to users who are 16 years of age or older. By using this Website, you represent and warrant that you are of a legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements or that you are being properly guided by your legal guardian if you are 16 or 17 years of age. 

REMUNERATION AND AGREED USAGE OF CONTENT

This will be specified on the Talent Management Contract or Model Release Form between you and the Company (WDW Media Ltd.).

YOU ARE NOT AN EMPLOYEE OF WDW MEDIA LTD

You further understand and agree that you are not an employee of WDW Media ltd and that WDW Media Ltd will not have any liability or obligations towards you which are related to its employees.

FAILURE TO DELIVER

In any instance, where it is required that you send in videos or pictures for the purpose of auditions or you are required to be available for live auditions and you continuously fail to deliver or make yourself available, the company (WDW Media Ltd) reserves the right to either retain you on the Talent and Beauty Platform or remove you.

PRIVACY POLICY AND USER INFORMATION
In the course of your use of the Site, you may be asked to provide certain information to us. You acknowledge and agree that you are solely responsible for the accuracy and content of such information.
If you contact WDW Media Ltd with any information, including but not limited to feedback, data, questions, comments, suggestions, or the like, such information shall NOT be deemed confidential. All such submissions shall be deemed the property of WDW Media ltd and Talent and Beauty.  

Your submission of information shall constitute an irrevocable assignment to WDW Media Ltd, its affiliates, of all worldwide rights, titles and interests in and to such information.

The Live Auditions will be public and will be open to all to see.

Talent and Beauty and the Company reserves the right to share these information with prospective clients who are willing to retain your talents for a project.

SUSPENSION AND TERMINATION

WDW Media Ltd. ‘s Talent and Beauty reserves the right, at its sole discretion, immediately and without notice, to suspend, discontinue, or terminate your access to the Services or any part thereof for any reason, including without limitation any breach by you of these Terms. You agree that Talent and Beauty shall not be liable to you or any third party for any such suspension, discontinuance or termination.

We reserve the right to withdraw or amend this Website and any service or material we provide on this Website, in our sole discretion without notice. From time to time, we may restrict access to some parts of the Website, or the entire Website.

 

GOVERNING LAW AND DISPUTES
Any action or dispute arising under or relating to this agreement shall be governed by, and will be construed in accordance with, the laws of the Federal Republic of Nigeria., without regard to choice of law principles. With respect to any such action or dispute you irrevocably agree that the Federal and State courts located in Nigeria are the sole and exclusive forum and venue for any dispute, as the most convenient and appropriate to address any disputes, and you agree to submit to the Jurisdiction and venue of such courts, to the fullest extent permitted by law: 

(a) no claims by you shall be joined with any other and you agree not to participate in any claim brought by others; 

(b) YOU HAVE NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE LITIGATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; and 

(c) You have no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
The Services herein are controlled within the Federal Republic of Nigeria and is directed to individuals residing in the Nigeria. Those who choose to access the Services from locations outside of Nigeria do so on their own initiative, and are responsible for compliance with local laws if and to the extent local laws are applicable. Talent and Beauty does not represent that its services or its Content are appropriate outside the Federal Republic of Nigeria. Talent and Beauty reserves the right to limit the availability of the Services for any person, geographic area or jurisdiction at any time in its sole discretion.

INDEMNIFICATION

You agree to indemnify and hold Talent and Beauty, and its parents, subsidiaries, affiliates, officers, other partners, and employees, harmless from any claim, demand or damages, including reasonable attorney’s fees, made by any third party due to or arising out of your content, your use of the service, your connection to the service, your violation of the Terms of Use, or your violation of any rights of another.

DISCLAIMER OF WARRANTIES

(a) THE TALENT AGREES THAT THE USE OF THIS SITE IS ENTIRELY AT THE TALENT’S OWN RISK. THE SITE IS PROVIDED ON AN “AS IS” BASIS, WITHOUT WARRANTIES OF ANY KIND. ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON – INFRINGEMENT OF PROPRIETARY RIGHTS, ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. Talent and Beauty ALSO DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS AND PERFORMANCE OF THE SITE TO THE FULLEST EXTENT PERMITTED BY LAW. Talent and Beauty DISCLAIMS ANY WARRANTIES FOR OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SITE, AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH THE SITE OR THROUGH ANY LINKS PROVIDED ON THE SITE. NEITHER Talent and Beauty NOR ANY THIRD-PARTY CONTENT PROVIDER MAKES ANY WARRANTY WITH RESPECT TO ANY CONTENT, INFORMATION, SERVICES, OR PRODUCTS PROVIDED THROUGH OR IN CONJUNCTION WITH THE SITE.

LIMITATION OF LIAIBILITY

UNDER NO CIRCUMSTANCES SHALL Talent and Beauty BE LIABLE TO ANY TALENT ON ACCOUNT OF THAT TALENT’S USE OR MISUSE OF THE SITE OR RELIANCE ON THE SITE. Talent and Beauty DOES NOT GUARANTEE THE LEGITIMACY OR IDENTITY OF ANY TALENT, INCLUDING ANY INFORMATION OR CONTENT PROVIDED BY TALENTS ON Talent and Beauty. Talent and Beauty DOES NOT GUARANTEE THAT ANY TALENT WILL USE THE Talent and Beauty WEBSITE PROPERLY OR IN COMPLIANCE WITH THE TERMS AND CONDITIONS APPLICABLE TO THEM. Talent and Beauty DOES NOT GUARANTEE THAT ANY TALENT WILL SUCCESSFULLY OBTAIN A CONTRACT, EMPLOYMENT OR SPONSORSHIP OF ANY KIND AS A RESULT OF MEMBERSHIP IN OR USE OF Talent and Beauty PLATFORM. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH Talent and Beauty IS THE CANCELLATION OF YOUR ACCOUNT OR THE TERMINATION OF YOUR USE OF Talent and Beauty. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE AND EXEMPLARY DAMAGES (EVEN IF Talent and Beauty HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM THE USE OR MISUSE OF THE SITE OR RELIANCE ON THE SITE, FROM INABILITY TO USE THE SITE OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SITE OR SERVICES OFFERED ON THE SITE (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SITE OR RECEIVED THROUGH ANY LINKS PROVIDED ON THE SITE. SUCH LIMITATION SHALL APPLY, WITHOUT LIMITATION, TO THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, OR LOST DATA. SUCH LIMITATION SHALL APPLY WITH RESPECT TO THE PERFORMANCE OR NON-PERFORMANCE OF THE SITE OR ANY PRODUCTS, SERVICES, INFORMATION, OR MERCHANDISE THAT APPEARS ON, OR IS LINKED OR RELATED IN ANY WAY TO, THE SITE. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SUCH LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

MISCELLANEOUS
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to effectuate the intent of such provision or if impossible to so modify, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. WDW Media ltd.’s failure to act with respect to any failure by you or others to comply with these Terms does not waive WDW Media ltd.’s right to act with respect to subsequent or similar failures. These Terms and the Talent Management Contract/Model Release Form set forth the entire understanding and agreement between you and WDW Media ltd with respect to the subject matter hereof. Any cause of action or claim you may have with respect to these Terms or the Services must be commenced within six (6) months after the claim or cause of action arises or such claim or cause of action shall be barred. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of WDW Media ltd and any assignment or transfer in violation of this provision shall be null and void. WDW Media ltd may assign or transfer any or all of its rights and obligations under these Terms without restriction and without notice to you. WDW Media ltd reserves the right to seek all remedies available at law and in equity for violations of these Terms or special terms or rules set forth on the Services, including without limitation the right to block access from a particular internet address.
